Terms of Service

Last updated: September 23, 2026

1. Acceptance of Terms; Operator

These Terms of Service ("Terms") govern your access to and use of Lead Agent, including its website, web application, and related services (collectively, the "Service"). By creating an account, clicking "I agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

The Service is operated by Lead Agent, a sole proprietorship ("we", "us", "our", or "the Operator"), with principal place of business in the State of Nevada, United States. For the purposes of these Terms, "you" refers to the individual user or the organization on whose behalf the account was created. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You may use the Service only if you are at least 18 years old and able to form a legally binding contract. By agreeing to these Terms, you represent that you meet these eligibility requirements.

2. Description of Service

Lead Agent is an AI-powered sales prospecting and customer relationship management (CRM) platform that provides lead discovery, AI-based lead scoring and personalization, email outreach management, proposal generation, pipeline tracking, and multi-division team management features. The Service aggregates publicly available business contact information, applies configurable playbooks to score and prioritize prospects, and generates outreach content for your review.

The Service is offered on a subscription basis with tiered plans, including a free tier supported in part by rewarded advertising. Specific features, limits, and availability may vary by subscription plan and are described on the Service's pricing page.

3. Subscription, Billing, and Cancellations

  • Subscriptions are billed on a monthly or annual basis depending on your selected plan. All fees are stated in U.S. dollars and are due in advance.
  • Payments are processed through our third-party payment provider, Stripe. By providing a payment method, you authorize us and Stripe to charge your payment method for recurring subscription fees until you cancel.
  • You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period; you will retain access until then. No refunds or credits are provided for partial billing periods.
  • Plan limits (campaigns, prospects, team members, companies) are determined by your subscription tier. Upgrading or downgrading changes these limits accordingly; downgrades take effect at the next billing cycle.
  • Prospect limits represent a maximum cap per campaign per billing cycle and are not a guarantee of the number of prospects that will be delivered. Actual prospect counts depend on targeting criteria, data availability, and source limitations.
  • Team member limits apply per company (team), not per account-wide total.
  • Prices are subject to change. We will notify you in advance of any price increases affecting your current subscription. Continued use after the effective date of a price change constitutes acceptance of the new price.
  • Free-tier users may receive bonus prospect credits by viewing rewarded advertisements. Ad availability, reward amounts, and daily caps are subject to change and may be disabled for paid subscriptions.

Subscription Limit Dimensions. Each subscription plan enforces limits across four dimensions: (i) the number of active campaigns you may run; (ii) the maximum number of prospects generated per campaign per billing cycle; (iii) the number of companies (teams) you may create or belong to; and (iv) the number of team members you may invite to each company. A plan may designate any of these limits as "unlimited," in which case no cap is enforced for that dimension. Prospect caps are measured per campaign per billing cycle and reset at the start of each cycle; they are not a guarantee of delivery. Campaign, company, and team-member limits are measured as active counts and do not carry over between billing cycles. The specific numeric values for each tier are published on the Service's pricing page and may change as plans are updated; in the event of a conflict between these Terms and the pricing page, the pricing page controls for current limit values.

4. User Obligations and Legal Compliance

You are solely responsible for your use of the Service and for any outreach, communications, or data collection you initiate using it. You agree to comply with all applicable local, state, national, and international laws and regulations, including but not limited to:

  • The CAN-SPAM Act and equivalent email marketing laws, including honoring opt-out requests, providing accurate sender identification, and including a valid physical postal address in commercial emails.
  • The Telephone Consumer Protection Act (TCPA) and equivalent regulations governing calls, texts, and automated communications.
  • The General Data Protection Regulation (GDPR), the UK GDPR, the ePrivacy Directive, and equivalent laws governing electronic communications and personal data processing.
  • The California Consumer Privacy Act (CCPA), the California Privacy Rights Act (CPRA), and equivalent state privacy laws.
  • All applicable anti-spam, telemarketing, data protection, and consumer protection laws in the jurisdictions where you operate or contact prospects.

You are responsible for obtaining any required consents before contacting prospects, maintaining suppression lists, and honoring do-not-contact requests. The Service provides tools to assist with compliance but does not provide legal advice and cannot guarantee your compliance with any specific law.

5. Web Scraping and Public Data Disclaimer

The Service collects and aggregates publicly available business contact and firmographic information from third-party sources, including publicly accessible websites, business directories, and professional networks. We do not represent or warrant that any such data is accurate, current, complete, or lawful to use in your jurisdiction.

  • Data availability depends on third-party sources over which we have no control and may change without notice.
  • We do not knowingly collect data from sources that require authentication, payment, or circumvention of technical access controls, and we prohibit you from attempting to do so through the Service.
  • The Service is a data aggregator and is not a consumer reporting agency. The data we provide is not to be used for purposes covered by the Fair Credit Reporting Act (FCRA), including credit, insurance, employment, or tenant screening decisions.
  • You are responsible for verifying the accuracy of prospect data and for ensuring your use of it complies with the terms of service of the original data sources and all applicable laws.

6. Acceptable Use and Prohibited Activities

You agree not to:

  • Use the Service for unlawful activities, including sending spam, harassment, or unsolicited commercial emails in violation of CAN-SPAM, GDPR, or equivalent laws.
  • Scrape, collect, or misuse data from the Service itself, or attempt to access, tamper with, or disrupt the Service's infrastructure, security measures, or data of other users.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Resell, sublicense, sublicense, white-label, or redistribute access to the Service without our prior written consent.
  • Use AI-generated content from the Service to mislead, defraud, defame, or harm any individual or organization, or to impersonate another person.
  • Upload or process sensitive data categories, including Social Security numbers, government IDs, health or medical information, financial account credentials, or data from children under 16.
  • Use the Service to contact individuals who have previously opted out, requested removal, or are on do-not-contact registries.
  • Interfere with the Service's advertising, billing, or usage-tracking systems, or attempt to manipulate rewarded-ad credits or referral bonuses.

7. User Content and Data

You retain ownership of all prospect data, outreach content, proposals, and other materials you create or upload to the Service ("User Content"). You are responsible for ensuring your use of the Service and your User Content complies with applicable data protection laws, including obtaining any required consents for email outreach and providing required notices to data subjects. You grant us a limited, non-exclusive license to process your User Content solely as necessary to provide the Service to you.

8. Account Roles and Access Controls

The Service uses a role-based access system to control what each user can do within an account and across teams. There are three layers of roles: platform-level roles, company (team) roles, and per-division roles. Your effective permissions are determined by the combination of roles assigned to you.

Platform-Level Roles

  • Admin: A platform admin has full access to administrative functions, including managing all user subscriptions, billing, support tickets, privacy requests, ad-reward analytics, and system-wide configuration. Admin role is assigned by the Operator and cannot be self-assigned.
  • User: A standard user can access the prospecting, outreach, and pipeline features available under their subscription plan. Standard users cannot access the Admin Panel or manage other users' billing or accounts.

Company (Team) Roles

When you create or are invited to a company (team), you are assigned one of the following roles within that team:

  • Owner: The team owner has full control over the team, including inviting and removing members, creating and managing divisions, setting division-level campaign quotas, approving or declining campaign-creation requests from members, and transferring prospects between members. Each team has one owner.
  • Team Lead: A team lead can create and manage campaigns, review and approve lead-transfer requests, and manage prospects assigned to their divisions. Team leads can approve or decline campaign requests submitted by members within their divisions.
  • Member: A member can use the prospecting and outreach features available under the team's subscription, manage prospects assigned to them, and submit campaign-creation requests for review by a team lead or owner. Members cannot approve transfers or create campaigns without approval.

Per-Division Roles

A company may be organized into divisions. Each team member can hold a role (team lead or member) within each division they belong to, independent of their company-level role. Division roles determine access to the campaigns, prospects, and documents scoped to that division. A user may be a team lead in one division and a member in another.

Lead Transfers and Campaign Requests. Team leads and owners can approve or decline requests to transfer prospects between members. Members can submit campaign-creation requests that require approval from a team lead or owner before the campaign is activated. These controls are designed to keep prospect data and outreach activity organized within the team structure and to ensure that campaign creation follows your organization's review workflow.

9. AI-Generated Content

The Service uses artificial intelligence to generate lead scores, outreach drafts, proposals, and other content. AI-generated content may contain inaccuracies or "hallucinations." You are solely responsible for reviewing and verifying all AI-generated content before using it. We do not guarantee the accuracy, completeness, legality, or effectiveness of any AI-generated output, and you assume all risk associated with its use.

10. Intellectual Property

All software, design, branding, documentation, and non-user-generated content of the Service are the intellectual property of Lead Agent and are protected by applicable copyright, trademark, and trade secret laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent. "Lead Agent" and related marks are trademarks of the Operator.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

THE OPERATOR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT PROSPECT DATA, LEAD SCORES, OR AI-GENERATED CONTENT WILL BE ACCURATE, RELIABLE, OR LEGALLY COMPLIANT. YOU USE THE SERVICE AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE OPERATOR—INCLUDING ITS SOLE PROPRIETOR, OFFICERS, AGENTS, EMPLOYEES, CONTRACTORS, OR AFFILIATES—BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF THE OPERATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE OPERATOR'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU HAVE PAID TO THE OPERATOR FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50).

THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Operator—including its sole proprietor, officers, agents, employees, contractors, and affiliates—from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content or outreach activities; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party rights, including intellectual property and privacy rights. The Operator reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us as reasonably required.

14. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or changes that temporarily affect availability. We are not liable for downtime, data loss, or service interruptions caused by events beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.

15. Termination

You may terminate your account at any time. We may suspend or terminate your account, or revoke access to specific features, if you violate these Terms, engage in conduct harmful to the Service, other users, or third parties, or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases, and we may delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination—including liability, indemnification, intellectual property, and governing law—shall remain in effect.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, in Clark County, Nevada. Judgment on the award may be entered in any court of competent jurisdiction.

YOU AND THE OPERATOR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE PARTIES WAIVE THE RIGHT TO A JURY TRIAL.

Small-claims court matters may be brought in the appropriate Nevada small-claims court. For claims involving injunctive or equitable relief, the parties consent to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada.

17. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice within the Service. Your continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

18. Contact

If you have questions about these Terms, please contact us at clientkeyllc@gmail.com or through the "Privacy Request" link available in the footer of every page.
